1. Acceptance of these Terms

By creating an account, paying a subscription, or otherwise using the FranTechAI platform ("Service"), you ("User") agree to be bound by these Terms & Conditions ("Terms"). If you do not accept the Terms, do not use the Service.

2. Who we are

All references to "FranTechAI" "we," "our," or "us" mean the entity above.

3. The Service

FranTechAI provides a cloud interface that combines Francesco Tonolo's proprietary research know-how with large-language-model (LLM) outputs. Features vary by subscription tier as described on the Pricing page. We may update or remove features at any time.

4. Account eligibility

You must be at least 18 years old and legally able to enter contracts under Italian law. We may refuse registration or suspend accounts at our sole discretion.

5. Subscriptions, billing & cancellation

Billing. Payments are processed by Stripe. Prices are shown in euro and exclude applicable taxes.

No refunds. All charges are final and non-refundable. If you cancel, access continues until the end of your current billing cycle.

Upgrades / downgrades. Prorated charges apply per Stripe's rules.

Failed payments. We may suspend access until the outstanding balance is settled.

6. Intellectual-Property & Usage Rights

User Content.

You retain all ownership of data, files, and prompts you upload ("User Content"). You grant FranTechAI a non-exclusive, revocable licence solely to process User Content for the purpose of providing the Service. User Content is not used to train or fine-tune our underlying LLMs.

Francesco's IP & Methodologies.

The Service, including all underlying prompts, frameworks, research protocols, strategy decks, call recordings, and other materials supplied by Francesco remains the exclusive intellectual property of FranTechAI.

Output Licence.

Upon full payment of the applicable fees, FranTechAI grants you a non-exclusive, non-transferable, worldwide licence to use AI outputs and consulting deliverables for your internal business purposes. You may not resell, re-license, publish, or make them available to third parties without written permission.

Feedback.

Any suggestions or feedback you provide may be used by FranTechAI without obligation or attribution.

7. Permitted & prohibited use

You agree not to use the Service to:

Seek or rely on medical, legal or investment advice.
Plan or execute activities that violate Italian or international law, including illicit cultivation or distribution of controlled substances.
Upload infringing, defamatory, hateful or otherwise unlawful material.
Attempt to reverse-engineer or scrape the Service, or overload it with automated requests.

Violation may result in immediate suspension or termination.

8. Output disclaimer

LLM outputs are automatically generated and may contain errors. They are provided for informational purposes only and do not constitute medical, legal or professional advice. See our separate Disclaimer page for details.

9. Warranty & Service Disclaimer

The Service and all outputs are provided "as is" and "as available".

FranTechAI disclaims all warranties and representations, express or implied, including, without limitation, accuracy, merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by Italian law.

Outputs are automatically generated; they may contain errors or outdated information. They do not constitute medical, legal, investment, or agronomic advice. You remain solely responsible for verifying any result before acting on it.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

FranTechAI, its owner, and affiliates shall have no liability whatsoever whether in contract, tort, negligence, strict liability, or otherwise for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or relating to the Service, even if advised of the possibility of such damages.

FranTechAI's aggregate liability shall not exceed 100% of fees paid by the customer in the 6 months preceding the claim.

Nothing in these Terms excludes liability that cannot be excluded under mandatory Italian or EU consumer law (e.g. liability for death or personal injury caused by gross negligence).

11. Indemnity

You agree to indemnify and hold harmless FranTechAI, its owner and affiliates from any claim or demand arising out of your misuse of the Service or violation of these Terms.

12. Modifications to the Terms

We may modify these Terms at any time. Material changes will be notified by email or in-app banner at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

13. Governing law & jurisdiction

These Terms are governed by Italian law. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Venice, Italy.
